Starting a business in Liberia
The Liberia Business Registry (LBR) serves as a one-stop shop for business registration in Liberia. Any entity intending to commence business activities in the country must first be registered with the LBR. The registration process has been streamlined to improve efficiency and accessibility for entrepreneurs and investors.
To begin the process, an applicant submits a business registration application, provides the required supporting documents, and pays the applicable registration fee. Detailed information regarding fees and procedures is available on the official Liberia Business Registry website at www.lbr.gov.lr. Once the application is reviewed and approved, the applicant is issued a Business Registration Certificate, which formally authorizes the entity to operate in Liberia.
The company registration application must be submitted directly to the Liberia Business Registry office. For a limited liability company, the required documents include the Registration Form (RF-001), Articles of Incorporation, and copies of identification documents attached to the Empowered Person Form (Form A) or Registered Agent Form (Form B). Additional documentation may be required depending on the structure of the business, including the Incorporator(s) Form (E), Shares and Shareholder(s) Form (Form F), and the Tax Authority Information Form (Form Q).
Businesses in Liberia may be registered under several categories, including corporations such as limited liability companies, partnerships, sole proprietorships, and petty trade enterprises. After submission, Liberia Business Registry officers review the application and coordinate with the Ministry of Finance and Development Planning to obtain the entrepreneur’s Tax Identification Number (TIN) and clearance through the Business Permit System (BPS), where applicable.
Entrepreneurs are also required to reserve a unique company name before completing the registration process. Name searches can be conducted online or at the Liberia Business Registry helpdesk. Once approved, the reserved name remains valid for a period of 120 days and costs approximately USD $15.00.
After completing the application and document submission, the entrepreneur must pay the applicable registration fees at the designated bank window, typically located within the Liberia Business Registry facility. Upon payment, the bank issues an official Government of Liberia receipt as proof of payment. This receipt must be presented to the Liberia Business Registry officer handling the application in order to finalize the registration process.
